By subscribing to  the Social Media Mastermind ("Mastermind") , the OFM Planner or the  OFM Accelerator  ("Accelerator") , offered by Smartup Cities Inc.  ("Education Company"),  you (the "User") agree to be bound by the following Terms and Conditions ("Terms"). If you do not agree with any of these Terms, you must not purchase or access the Mastermind,  OFM Planner or OFM Accelerator. 

The Mastermind is an educational program focused on TikTok and is designed to provide guidance and support to Agencies and Creators. The program includes access to private Telegram groups and channels where Users can receive information, resources, and guidance on utilizing TikTok for their businesses.

The OFM Planner is a subscription-based platform accessible at ofmplanner.com that provides Users with a planning tool and a predefined number of captions per month, as set on the payment page or payment link. Upon successful login, full access to the OFM Planner is granted, and the User acknowledges and agrees that any refund or claim is not possible thereafter.

The Mastermind , OFM Planner and the OFM Accelerator are available on a monthly subscription basis. The subscription fee will be automatically deducted from the User's method of payment each month until the User decides to cancel. Cancellations can be made at any time during the month and will take effect starting the next billing cycle. No refunds, partial or total, will be issued for either service.

Neither the Mastermind nor the OFM Planner , nor the OFM Accelerator guarantees any specific results. Any results posted in our marketing materials are for informational purposes only and should not be considered a guarantee of similar outcomes for individual Users.

Smartup Cities can not and does not make any guarantees about your ability to get results or earn any money with our ideas, information, tools, or strategies. Nothing on this page, any of our websites, or any of our content or curriculum is a promise or guarantee of results or future earnings, and we do not offer any legal, tax or other professional advice. Lack of activity within the Mastermind , the OFM Planner or the Accelerator, does not constitute grounds for a refund or cancellation of the User's membership. Users are responsible for their level of participation and engagement within the Mastermind , OFM Planner and the Accelerator.

All content and materials provided in the Mastermind , the Accelerator and the OFM Planner, including but not limited to text, graphics, logos, and images, are the property of the Education Company or its content suppliers and are protected by copyright, trademark, and other applicable intellectual property laws. Users may not reproduce, distribute, modify, or create derivative works from any part of the Mastermind , the Accelerator or OFM Planner without the express written consent of the Education Company. 

By posting or submitting any material (including, without limitation, comments, blog entries, Telegram postings, photos and videos) to us via the Site, internet groups, social media venues, or to any of our staff via email, text or otherwise, you are representing: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are thirteen years of age or older. In addition, when you submit, email, text or deliver or post any material, you are granting us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. You acknowledge and agree that any contributions originally created by you for us shall be deemed a “work made for hire” when the work performed is within the scope of the definition of a work made for hire in Section 101 of the United States Copyright Law, as amended. As such, the copyrights in those works shall belong to Smartup Cities  from their creation. Thus, Smartup Cities shall be deemed the author and exclusive owner thereof and shall have the right to exploit any or all of the results and proceeds in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in all languages, as Smartup Cities determines. In the event that any of the results and proceeds of your submissions hereunder are not deemed a “work made for hire” under Section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to Smartup Cities all proprietary rights, including without limitation, all copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any and all right, title and interest in and to all such proprietary rights in every medium, whether now known or hereafter devised, throughout the universe, in perpetuity. Any posted material which are reproductions of prior works by you shall be co-owned by us.

You acknowledge that Smartup Cities has the right but not the obligation to use and display any postings or contributions of any kind and that Smartup Cities may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.

Limitations on Linking and Framing. You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site. However, you may not, without our prior written permission, frame or inline link any of the content of the Site, or incorporate into another website or other service any of our material, content or intellectual property.

Our services, including the Social Media Mastermind  and OFM Accelerator, are meant to foster a collaborative and supportive environment for all users. We strictly prohibit any attempt to poach or solicit other members of the community for the purpose of selling services, products, or otherwise transforming them into customers.

Users are further prohibited from asking for any form of compensation, monetary or otherwise, for any help or support they may provide to other community members. This is a community of learning and growth, and all assistance and information shared should be done altruistically and in the spirit of collaboration.

Any violation of these guidelines may result in the termination of your account and access to our services, without any refund of any subscription fees. We reserve the right to enforce these guidelines at our discretion.

The Education Company reserves the right to terminate a User's access to the Mastermind, OFM Planner or the OFM Accelerator at any time, for any reason, including but not limited to a breach of these Terms. In the event of termination, the User will not be entitled to a refund of any fees paid for either service.

In no event shall the Education Company or its affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, arising out of or in connection with the User's use of or inability to use the Mastermind, OFM Planner or the OFM Accelerator, even if the Education Company has been advised of the possibility of such damages.

The User agrees to indemnify, defend, and hold harmless the Education Company and its affiliates, officers, directors, employees, and agents from and against any

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms and Conditions, or the use of the Mastermind, the OFM Planner or the OFM Accelerator, shall be subject to the exclusive jurisdiction of the federal and state courts located within the United States. Users hereby agree to the personal jurisdiction and venue of these courts and waive any objections regarding venue or inconvenient forum in these courts.
